TERMS OF AGREEMENT (LEGAL VERSION)

1. Acceptance of Terms

These Terms of Agreement (“Terms”) constitute a legally binding contract between you (“User,” “you,” or “your”) and Yoh Show (“Yoh Show,” “we,” “us,” or “our”). By accessing, creating an account on, or otherwise using any aspect of the Yoh Show platform (“Platform”), you affirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree, you must discontinue use of the Platform immediately.

2. Definitions

For purposes of these Terms:

  • “Listing” means any product, service, business, project, brand, or entity uploaded or submitted to the Platform by a User.
  • “VIP Ticket” means any “Very Important Promoter” ticket issued by Yoh Show.
  • “Yoh Show Products” means any digital or physical items, tickets, promotional assets, or services created, designed, or distributed by Yoh Show.
  • “User Content” means any data, media, images, text, audio, video, or information submitted by a User.

3. Modification of Utilities and Offerings

The functionality, value, utility, or characteristics of any Listing, product, or service—including but not limited to VIP Tickets, Golden VIP Tickets, promotional goods, or work-based reward mechanisms—may be modified, altered, or discontinued at any time by the Listing owner or business entity.

Yoh Show bears no liability for any such changes.

4. No Securities; Work-Based Earnings Only

Unless expressly stated in writing by Yoh Show, no item, listing, ticket, product, or instrument offered on the Platform shall be deemed or construed as a security, investment contract, or financial instrument under any jurisdiction.

Any compensation or payment generated on the Platform shall be exclusively in exchange for work performed, which may include:

  • Watching advertisements
  • Distributing VIP Tickets
  • Promoting Listings
  • Providing product or service feedback
  • Participating in marketing campaigns
  • Managing or maintaining a business or project

Users acknowledge and agree that compensation is never passive and is always contingent upon labor.

5. Authority to List Businesses or Individuals

By submitting a Listing referencing a business, brand, celebrity, public figure, or other entity, you represent and warrant that:

  1. You are the lawful owner, representative, agent, or authorized licensee of such entity; and
  2. You possess full legal authority to use and display any associated intellectual property, trademarks, likenesses, or brand assets.

Any misrepresentation shall constitute a material breach of these Terms.

6. Fraud, User Due Diligence, and Limitation of Liability

Users are solely responsible for verifying the authenticity and legitimacy of any Listing before making purchases or engaging with Listing owners.

Yoh Show shall not be liable for:

  • Fraudulent or unauthorized Listings
  • Misrepresentations by Users
  • Losses arising from failure to investigate or perform due diligence

All transactions between Users are undertaken at their own risk.

7. License Granted to Yoh Show

By uploading any User Content or creating any Listing, you hereby grant Yoh Show a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable license to:

  • Host, display, modify, broadcast, reproduce, distribute, promote, market, or otherwise use the Listing or User Content
  • Create derivative or promotional materials related to the Listing
  • Use any associated branding, imagery, likeness, or trademarks for promotional purposes

This license survives account termination.

You warrant that you hold all rights necessary to grant this license.

8. Exclusive Distribution Rights of Yoh Show

8.1 Ownership of Yoh Show-Created Products

You acknowledge and agree that all products, tickets, digital goods, promotional items, and materials created by Yoh Show in connection with your Listing shall be the exclusive property of Yoh Show, whether or not such products incorporate or reference elements of your Listing.

This includes, without limitation:

  • VIP Tickets
  • Golden VIP Tickets
  • Promotional distribution tickets
  • Digital goods
  • Printed or manufactured merchandise
  • Branded promotional materials
  • Any derivative works created by Yoh Show

8.2 Exclusive Distribution Rights

Yoh Show retains sole and exclusive rights to:

  • Sell
  • License
  • Distribute
  • Modify
  • Market
  • Reproduce
  • Monetize

any and all Yoh Show Products.

You expressly waive any claim to revenue, royalties, intellectual property rights, or control over Yoh Show Products unless explicitly granted in a signed written agreement.

8.3 Rationale

You acknowledge that Yoh Show invests substantial creative, technical, financial, and promotional resources into the development and distribution of these products. Exclusive distribution rights are necessary to protect Yoh Show’s business operations.

9. Profit Handling and Ticket Holder Compensation

If your Listing generates revenue:

  1. You agree to deposit all funds designated for VIP Ticket distribution or promotional compensation into the appropriate Yoh Show-managed account.
  2. You agree to honor and facilitate work-based payouts owed to VIP Ticket holders.
  3. You must publicly disclose any custom payout structures within the Listing attributes.
  4. All custom arrangements are subject to approval by Yoh Show.
  5. Yoh Show may suspend, hide, or remove any Listing that fails to comply.

10. Nature of Platform

Yoh Show functions as:

  • A promotional and marketing service, and
  • A marketplace allowing Users to list and promote their goods, services, or projects.

Yoh Show does not guarantee outcomes, sales, profitability, or buyer engagement.

11. Prohibited Conduct

Users shall not:

  • Upload content they do not own or lack rights to
  • Misrepresent their authority or identity
  • Engage in fraudulent or illegal activity
  • Attempt to copy, reverse engineer, or manipulate Platform systems
  • Upload harmful, defamatory, or illegal materials
  • Harass, abuse, or threaten other Users or staff

Violation may result in immediate termination of access without refund.

12. Indemnification

You agree to indemnify, defend, and hold harmless Yoh Show and its officers, directors, employees, agents, affiliates, successors, and assigns from any and all claims, liabilities, damages, losses, or expenses (including attorneys’ fees) arising from:

  • Your Listings
  • Your breach of these Terms
  • Your infringement of third-party rights
  • Your conduct or omissions
  • Fraud, misrepresentation, or unlawful behavior

13. Legal Fees

In the event Yoh Show initiates legal action due to your breach of these Terms, you agree to reimburse Yoh Show for all legal fees, court costs, and related expenses incurred.

14. Dispute Resolution and Binding Arbitration

All disputes, claims, or controversies arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration, conducted in the jurisdiction selected by Yoh Show.

You waive any right to:

  • Jury trial
  • Court proceedings
  • Class actions or collective actions

Judgment on the arbitration award may be entered in any court of competent jurisdiction.

15. Termination

Yoh Show may suspend or terminate your account, Listing, or access to the Platform at any time, with or without cause, and without prior notice.

16. Disclaimer of Warranties

The Platform is provided strictly “as is” and “as available.”

Yoh Show disclaims all warranties, whether express, implied, statutory, or otherwise.

Yoh Show does not warrant that:

  • The Platform will operate uninterrupted or error-free
  • Listings will produce sales
  • Content or data will be accurate or secure

17. Limitation of Liability

To the maximum extent permitted by law:

  • Yoh Show shall not be liable for any indirect, incidental, consequential, punitive, or special damages.
  • Yoh Show’s total liability shall not exceed the amount paid by you directly to Yoh Show in the preceding six months, if any.

18. Age Requirement

Users must be at least 18 years of age to use the Platform.

19. Amendments

Yoh Show may revise or modify these Terms at any time. Continued use of the Platform constitutes acceptance of all updated Terms.

Where applicable by law, Users may request:

  • Correction of inaccuracies
  • Deletion of data (subject to legal limits)

REFUND POLICY (LEGAL VERSION)

1. Digital Goods

All digital products, including but not limited to VIP Tickets and promotional items, are non-refundable and non-returnable.

2. Physical Goods

Returns for physical goods are accepted only where legally required or if the product is defective upon arrival.

Refunds are not guaranteed and remain at the discretion of Yoh Show.

3. User-to-User Transactions

Yoh Show does not control or process refunds relating to purchases made directly from Listing owners.

All such refunds must be resolved between the buyer and the Listing owner.

DMCA POLICY (LEGAL VERSION)

If you believe your copyrighted material has been used on the Platform without authorization, you may submit a DMCA Takedown Notice to:

A valid DMCA Notice must include:

  1. Identification of the copyrighted work.
  2. The URL of the allegedly infringing material.
  3. Your full name and contact information.
  4. A statement affirming your good-faith belief that the use is unauthorized.
  5. A statement made under penalty of perjury affirming the accuracy of your claim.
  6. Your electronic or physical signature.

Yoh Show will respond to valid DMCA Notices in accordance with applicable law.
